Plaintiff Alleges Former Employer Breached Loan Agreement and Failed Wage Payments

A legal battle is unfolding in Santa Clara County as a plaintiff alleges multiple breaches of agreements and labor violations against his former employer. On November 12, 2025, Chung Bao filed a complaint in the Superior Court of California, County of Santa Clara, against GlobalWIN Technology Company Limited, Shih-Jen Lin, Acadia Technology, Inc., and other unnamed defendants. The lawsuit accuses the defendants of anticipatory repudiation-breach of a loan agreement, breach of employment agreement, failure to pay wages, unfair competition, and failure to pay minimum wage.

Chung Bao has been embroiled in this legal confrontation due to what he describes as severe misconduct by his employers. Bao claims that since 1996 he has been employed by GlobalWIN Technology Company Limited and later moved to the United States in 1997 to establish and operate Acadia Technology Inc., a subsidiary owned by GlobalWIN. Despite not having any ownership interest in Acadia, Bao was persuaded by Shih-Jen Lin—GlobalWIN’s principal owner—to loan $393,359.21 for operating capital under the assurance it would be repaid upon his termination from employment. However, Bao asserts that neither GlobalWIN nor Acadia have honored this agreement or shown any intention to repay him.

Bao further alleges that he has not received any salary since 2020 despite performing duties such as checking emails and corresponding with customers for five hours weekly at $30 per hour. He calculates the unpaid wages over four years amounting to $33,911.76. In his complaint, Bao contends that Lin’s actions reflect an abuse of corporate privilege and unjust enrichment through fraudulent practices.

The plaintiff seeks several forms of relief from the court: compensatory damages for the unpaid loan amounting to at least $393,359.21; prejudgment interest on this loan; recovery of unpaid wages totaling at least $31,200; reasonable attorney’s fees; injunctive relief against further unfair competition; and liquidated damages for wage violations.
